Venovate Holdings, Inc. operated an online platform designed to connect accredited investors with alternative investment opportunities. Founded in April 2013 by Michael Raneri, who also served as CEO, the company aimed to make investing in private securities more efficient. Raneri, a figure with experience at Charles Schwab and Zecco, launched the Venovate Marketplace in 2014 to provide access to a diverse range of assets including private equity, venture capital, real estate, and hedge funds.
The platform facilitated the entire investment process, from discovery and due diligence to electronic document signing and closing the transaction, all within a single interface. It targeted institutions, family offices, and accredited individual investors, while also offering a channel for mid-market private companies and funds to raise capital. To accelerate its market entry, Venovate acquired Xpert Securities, a FINRA-registered broker-dealer with an Alternative Trading System (ATS), from venture capitalist Tim Draper. It also acquired CapRally, a suite of tools for managing capital raises and investor relations, whose founder, Thomas Foley, became President of Venovate Marketplace. Venovate operated under Title II of the JOBS Act, which permitted the general solicitation of private placement securities to accredited investors. The firm was acquired by Coinbase Global on June 7, 2018.
