Overcast Innovations, a subsidiary of the full-service mechanical, electrical, plumbing, and fire protection (MEPF) firm McKinstry, was established in 2019 to address systemic waste and inefficiency in the construction sector. The company emerged from a recognized need within its parent organization to develop more intelligent, sustainable, and affordable buildings. This led to the creation of a manufacturing venture focused on prefabricated, modular ceiling solutions designed to streamline complex construction processes.

The firm operates by manufacturing factory-built, plug-and-play ceiling appliances, known as "Clouds" and "Modular Grid Platforms," that integrate numerous building systems. These assemblies consolidate components such as mechanical HVAC, lighting, audiovisual equipment, sensors, and life safety systems into a single, cohesive unit. This approach targets the persistent issue of "ceiling acne," where a disparate collection of systems clutters overhead spaces. The business model is centered on collaborating with project teams—including architects, builders, and building owners—from the design phase through installation, delivering customized assemblies that reduce on-site labor costs, shorten project timelines, and minimize material waste.

Robb Andrade, who was appointed Managing Director in August 2022, leads the company's growth and strategic direction. His background includes over two decades in the construction industry, with leadership roles at Siemens Smart Infrastructure and Johnson Controls, providing him with deep expertise in building systems, HVAC, and smart building technologies. A significant milestone occurred in January 2024 when Overcast entered into a strategic partnership with Armstrong World Industries, a major manufacturer of ceiling and wall systems. This agreement involves Armstrong marketing and distributing Overcast's products and acquiring a minority stake in the company, significantly expanding Overcast's market reach and integrating Armstrong's products into its modular solutions.
