Hammerhead Energy Inc. operates as a Canadian oil and gas exploration and production company, focusing its efforts on the Montney Formation in Alberta. Founded in 2009 as Hammerhead Resources Inc., the Calgary-based firm has established a significant operational footprint in one of North America's most productive unconventional petroleum plays.
The company was led by President and CEO Scott Sobie, a veteran with over 30 years in the oil and gas sector, including extensive experience at Talisman Energy. The board was chaired by Robert Tichio, a partner at Riverstone Holdings, a private equity firm that was a major investor in Hammerhead. Riverstone's initial investment in 2014, when the company was producing 1,100 boe/d, was crucial for its subsequent growth.
Hammerhead's business model is centered on the exploration, development, and production of oil, natural gas, and natural gas liquids from its extensive asset base. The company targets the Upper and Lower Montney formation across its core development areas known as Gold Creek, South Karr, and North Karr. Its primary source of revenue is the sale of these commodities. Operationally, Hammerhead has focused on deploying capital efficiently, utilizing multi-well pads to develop its inventory of over 1,500 gross well locations.
A significant milestone occurred in February 2023 when Hammerhead Resources completed a business combination with Decarbonization Plus Acquisition Corporation IV, a special purpose acquisition company (SPAC), to become Hammerhead Energy Inc. This transaction resulted in the company being dually listed on the NASDAQ and Toronto Stock Exchange (TSX). The move was designed to provide the structure and capital to facilitate shareholder returns and support its growth model. By the end of 2022, the company achieved a record annual average production of 32,081 barrels of oil equivalent per day (boe/d).
In late 2023, another major corporate event unfolded as Crescent Point Energy Corp. agreed to acquire Hammerhead Energy for a total enterprise value of C$2.55 billion. The deal, which closed in December 2023, consisted of cash and Crescent Point shares and created Canada's seventh-largest energy producer. The acquisition provided Hammerhead shareholders with an attractive valuation and continued exposure to the energy market through ownership in the larger, more diversified Crescent Point. Following the acquisition, Hammerhead was delisted from the TSX and NASDAQ.
